The terms and conditions governing your use of CoreSettle's payment processing platform and related services.

Acceptance of Terms

By accessing or using CoreSettle's payment processing services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services.

Services Description

CoreSettle provides payment processing services that enable merchants to accept and process electronic payments. Our Services include:

  • Payment gateway integration and transaction processing
  • Multi-currency payment acceptance and settlement
  • Fraud detection and prevention tools
  • Chargeback management and dispute resolution
  • Reporting and analytics dashboards
  • Merchant onboarding and compliance support

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to affected merchants.

Account Registration

To use our Services, you must register for a merchant account. During registration, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to refuse registration or terminate accounts at our discretion, particularly where we determine that a business does not meet our underwriting criteria or compliance requirements.

Merchant Obligations

As a merchant using our Services, you agree to:

  • Comply with all applicable laws, regulations, and card network rules
  • Maintain accurate and complete records of all transactions processed through our Services
  • Provide clear and accurate product or service descriptions to your customers
  • Process refunds in a timely manner in accordance with your stated refund policy
  • Not process transactions that you know or should know to be fraudulent
  • Maintain appropriate security measures to protect cardholder data in your possession
  • Notify CoreSettle immediately of any changes to your business that may affect your risk profile
  • Cooperate fully with any investigations related to transactions processed through our Services

Fees and Payments

You agree to pay all fees associated with your use of the Services as set forth in your merchant agreement. Fees may include transaction processing fees, monthly service fees, chargeback fees, and other fees as described in your pricing schedule.

We reserve the right to modify our fee structure with 30 days' advance written notice. Continued use of the Services after fee changes take effect constitutes acceptance of the new fees.

Settlement of funds will occur according to the schedule specified in your merchant agreement. We may withhold or delay settlement where we reasonably believe that transactions are fraudulent, unauthorized, or otherwise in violation of these Terms.

Prohibited Activities

You may not use the Services for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:

  • Processing transactions for illegal goods or services
  • Money laundering or terrorist financing
  • Processing transactions on behalf of undisclosed third parties (factoring)
  • Submitting fraudulent transactions or manipulating transaction data
  • Violating card network rules or operating regulations
  • Using the Services in a manner that could damage, disable, or impair our infrastructure
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Processing transactions that violate applicable sanctions or export control laws

Violation of these prohibitions may result in immediate suspension or termination of your account and may be reported to law enforcement authorities.

Intellectual Property

All intellectual property rights in the Services, including software, trademarks, logos, and documentation, are owned by CoreSettle or our licensors. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Services.

You may not copy, modify, distribute, sell, or lease any part of the Services or its underlying software. You may not reverse engineer or attempt to extract the source code of our software.

Limitation of Liability

To the maximum extent permitted by applicable law, CoreSettle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to CoreSettle during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory upon which the claim is based, whether we have been advised of the possibility of such damages, and whether or not the limited remedies provided herein fail of their essential purpose.

Indemnification

You agree to indemnify, defend, and hold harmless CoreSettle, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your use of the Services or violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any transactions processed through your merchant account
  • Any chargebacks, refunds, or disputes related to your transactions

Termination

Either party may terminate this agreement by providing 30 days' written notice to the other party. We may also terminate or suspend your account immediately if we determine, in our sole discretion, that you have violated these Terms or that your continued use of the Services poses a risk to CoreSettle, our partners, or the payment ecosystem.

Upon termination, your right to use the Services will immediately cease. We will settle any outstanding funds owed to you in accordance with the settlement schedule in your merchant agreement, subject to any applicable holds or reserves.

Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to indemnification, limitation of liability, and governing law provisions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Services at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
